MediaTek, Taiwan’s biggest fabless semiconductor company, has confirmed that Alphabet participated in its $3.9 billion offshore convertible bond issuance. The deal, which also saw NVIDIA purchase a staggering $3.5 billion of the bonds, marks one of the largest strategic financing moves in the semiconductor industry this year.
The zero-coupon bonds were priced on August 31 and are set to close on September 8, with subsequent listing on the Singapore Exchange. The conversion price was set at NT$4,513.75 per share, a 115% premium over MediaTek’s closing share price of NT$3,925 on the issuance date.
NVIDIA takes the biggest bite
NVIDIA committed $3.5 billion of the $3.9 billion total. The partnership between MediaTek and NVIDIA centers on advancing AI computing platforms. The two companies have been collaborating on the NVLink Fusion platform, which enables interoperability for custom AI solutions.
MediaTek plans to use the proceeds for foreign currency material purchases, essentially fueling its operational expansion as it pushes deeper into the AI ecosystem.
That said, some analysts have flagged a pattern worth watching. When a company like NVIDIA funds its own technology partners through bond purchases, it creates a dynamic that some industry observers call “circular financing.” NVIDIA sells AI technology and infrastructure. MediaTek builds products using that technology. NVIDIA then funds MediaTek to buy more of it.
MediaTek’s AI pivot in numbers
The company is projecting over $2 billion in AI chip revenue for 2026. It’s also sizing up the total addressable market for custom AI chips at $70 to $80 billion by 2027, with ambitions to capture 10 to 20% of that pie.
Zero-coupon bonds mean MediaTek pays no interest, with the only cost being potential equity dilution if bondholders convert at the NT$4,513.75 strike price. The bonds mature in 2027.
Why Alphabet’s involvement matters
Alphabet’s participation signals something strategically significant. Google has been aggressively building its own custom silicon, from its Tensor Processing Units for cloud AI to the Tensor chips in Pixel phones. MediaTek’s expertise in designing efficient, integrated SoCs makes it a natural collaborator for companies that want custom chips without building an entire semiconductor design team from scratch.
