According to an 8-K filing with the Securities and Exchange Commission, Binance acquired 1,237,011 shares of Circle’s Class A common stock at $80.84 per share through a private placement.

The transaction closed immediately after the companies signed the subscription agreement and expanded their existing commercial arrangements.
The investment gives Binance direct equity exposure to Circle while the companies increase their cooperation around USDC infrastructure.
Binance and Circle Sign Five-Year USDC Deal
Alongside the equity investment, Binance and Circle entered into a new five-year commercial agreement.

Under the agreement, Circle will pay Binance a monthly incentive fee calculated as a percentage of the USDC held through the wallet service.

Circle said more than 100 applications were available when Arc launched.
Its founding validator group includes BlackRock, DTCC, ICE, Mastercard and Visa.
