UniCredit buys minority stake in VC Trade to boost digital markets

UniCredit SpA, Italy’s biggest bank by assets, has acquired a minority stake in VC Trade, a German digital platform built for private debt and lending markets. The move is designed to deepen UniCredit’s footprint in digital capital markets, particularly around debt transactions where manual processes still slow things down.

VC Trade isn’t a startup throwing around buzzwords. Founded in March 2018, the platform has facilitated more than 600 transactions totaling over €90 billion, working with a network of over 1,600 banks and institutional investors across Europe.

What VC Trade actually does

The platform specializes in private debt instruments, with a particular focus on Schuldscheine, a type of German promissory note that sits somewhere between a bond and a bilateral loan. These instruments are popular among European corporates and municipalities looking for flexible financing, but their execution has historically been clunky, involving reams of paperwork and fragmented communication between arrangers, borrowers, and investors.

VC Trade digitizes that entire chain. The platform standardizes data across transactions and integrates artificial intelligence to manage the information flow, cutting down the time and friction involved in placing and settling deals.

UniCredit already knows the platform well. The bank has acted as an arranger for transactions on VC Trade, including a €500 million jumbo Schuldschein issued for the City of Cologne in 2026, alongside co-arrangers Helaba and ING Deutschland. Buying a stake formalizes a relationship that was already producing revenue.

Following BayernLB and Helaba into the cap table

UniCredit isn’t the first major bank to take an ownership position in VC Trade. In March 2022, BayernLB, Helaba, and Raiffeisen Bank International each acquired equal minority stakes during a capital increase. The founding shareholders still hold majority ownership, meaning the platform retains operational independence even as its cap table fills with institutional backers.

For UniCredit, which has been on an aggressive expansion push under CEO Andrea Orcel, including its contested bid for Germany’s Commerzbank, this investment fits a broader strategy of planting flags across European financial infrastructure.

What this means for European debt markets

The private debt market in Europe has been growing steadily as borrowers seek alternatives to public bond issuances, which come with heavier regulatory and disclosure burdens. Platforms like VC Trade make that market more accessible by lowering the operational overhead for both issuers and investors.

VC Trade’s current focus is squarely on traditional private-debt products, with no involvement in crypto assets or blockchain-based settlement. The platform’s value proposition rests on AI-driven data management and process standardization rather than distributed ledger technology.
